Preamble
- Name and headquarters of the association
NETZ stands up for human dignity and against hunger in Bangladesh and other Asian countries. Therefore NETZ establishes ties between people and groups which contribute to overcome poverty and injustice.
Based on partnership NETZ professionally supports self help in Bangladesh – for food security, education and human rights.
Common learning and exchange of experiences are essential elements for NETZ. The association attempts to promote the dissemination of a non-violent spirit and an interreligious dialogue
- Name of the association:
NETZ Partnerschaft für Entwicklung und Gerechtigkeit e.V.
Registered at the Magistrate Court Wetzlar with the number VR 1790.
- The legal seat of the association is in Wetzlar.
- The financial year is the calendar year.
- Goals and purpose of the association
- The goal and purpose of NETZ Partnership for Development and Justice e.V. is to contribute to the promotion of international solidarity and tolerance in all spheres of culture and international understanding.
- This includes
- undertaking action in solidarity with poor people in Asia, particularly in Bangladesh;
- promoting development aid and development cooperation, especially approaches of self- help initiatives and strategies to meet basic human needs;
- promoting education of both children and adults, and vocational training;
- promoting young people;
- providing humanitarian aid;
- promoting inter-religious and intercultural dialogue through exchange visits, voluntary social service for peace, educational events, publications and the provision of suitable venues for events;
- providing impulses and subsequent guidance for work on human rights issues and the development of a culture of sharing.
- The goals of the association should be realised in the spirit of active non-violence.
- Non-profit character
- The activites of the association are exclusivly and directly for public benefit, benevolent and are charitable in the sense described in the paragraph „tax-deductible purposes“ of the internal revenue code.
- The association works free from self-interest and does not have a goal to make profit
for itself.
- The resources of the association have to be used only for the purposes mentioned in the rules of the constitution. Members will receive no donations from it.
- No individual can be reimbursed for expenses, which do not conform to the constitution, or
which result from disproportionately high remunerations.
- Membership
- Any judicial or natural person can be a member.
- The membership is aquired through written application for membership and subsequent acceptance by the Executive Committee.
- The membership becomes void
- by death;
- by a written resignation;
- by disqualification.
- The written resignation needs to be addressed to the Executive Committee and will be effected with a notice period of 3 months up to the end of a calender year.
- A disqualification requires a resolution of the Executive Committee after a hearing with the member, and if the member appeals, the Annual General Meeting needs to confirm that.
- Association Funds
- In order to pursue its goal, the association raises its fund through subscriptions from its members the rate of which is to be fixed by the Annual General Meeting and through donations and subsidies.
- General Body
- A regular General Body Meeting is convened annually (AGM).
- An Extraordinary General Meeting may be called by the chairman of the Executive Committee if this is necessary to protect the interests of the association or when at least 1/10 of the members request such a meeting in writing and state their reasons for doing so.
- The Annual/Extraordinary General Meeting is convened and presided by the Chairman of Executive Committee in writing and by publishing the agenda. The inivitation is sent by post to the last known address of each Executive Committee Member and must be sent at least two weeks in advance of the proposed date.
- In particular the General Body is authorized to:
- elect the Executive Committee;
- elect one or two auditors, who will not be an Executive Committee Member;
- elect honorary members;
- receive the annual report from the Executive Committee and its Members;
- relieve the Executive Committee of their responsibilities;
- fix membership fees;
- change to the constitution and the dissolution of the association.
- The General Body decides by simple majority vote of the members present. Abstentions will
be counted as non-given votes. The chairman’s vote is decisive in the event of a tie.
- A 2/3 majority from those members present is required for a change in the constitution or the dissolution of the association.
- General Body resolutions must be recorded in a protocol to be signed by the recording clerk
and the chairman.
- Executive Committee
- The Executive Committee comprises at least four and at most seven persons (the Chairperson, the Vice-chairperson and at most five Executive Committee Members). One Executive Committee Member is responsible for the finances. To decide on further responsibilities is incumbent to the Executive Committee.
- Chairperson and Vice-chairperson represent the association in judicial and non-judicial
matters (German Civil Code §26 II BGB).
- The tenure of Executive Committee is two years. If a member resigns earlier, the Executive Committee is authorized to replace the Member until the next Annual General Meeting.
If the Chair or the Vice-Chair resigns earlier, the staying members have to elect a successor out of their line. The election has to be confirmed during the next Annual General Meeting.
- The Executive Committee is responsible for ongoing administration. It administers the resources of the association and decides on the budget and on expenditure in accordance with the constitution and the budget. It can confer the business dealings on the administration to one or two Directors.
- The Chairperson convenes the Executive Committee meetings as often as association matters require. He/she chairs Executive Committee meetings.
- The Executive Committee decides on the rules and regulations that determine its own procedures for decision-making.
- The Executive Committee can assign a member of the Executive Board as representation authority.
Representation in Bangladesh
The Executive Committee is authorized to select a natural person or an organisation to execute association matters in Bangladesh. The tasks fall within the areas of projects supervision, cooperation with partner organisations, communication with other active parties in development cooperation in Bangladesh and coordination of visitors from Germany. The assignments are to be communicated in writing by the Executive Board.
Dissolution of the Association

The association can only be dissolved by a General Body Meeting convened solely for this purpose with a two thirds majority of the valid votes cast.
- In the case of the dissolution of the association or of the cessation of tax deductible purposes, the association funds are to be passed on to:
